İdil Yiğitbaşı
Chairperson
İdil Yiğitbaşı received a bachelor’s degree in business administration from Boğaziçi University in 1986 and a master’s degree in the
same subject from Indiana University in 1989. She started her career in finance at the Yaşar Group in 1986, and subsequently held
senior management positions particularly in strategy and marketing in various Group companies involved mainly in the food industry.
Having served as the Vice Chairperson of Yaşar Holding from 2003 until 2009, Ms. Yiğitbaşı has been appointed as the Chairperson
of Yaşar Holding in April 2009, a position she still holds. İdil Yiğitbaşı has been holding seats on the boards of directors of Yaşar
Group companies for the last ten years.
Yılmaz Gökoğlu
Vice Chairperson
Yılmaz Gökoğlu received a bachelor’s degree in economics and public finance from Ankara University, Faculty of Political Sciences
in 1977. He worked as a tax inspector for the Ministry of Finance from 1978 through 1982, and joined Yaşar Group in 1983
where he held various senior management positions mostly in the fields of financial affairs and audit. Elected as a member of the
Yaşar Holding Board of Directors in April 2007, Mr. Gökoğlu was appointed as Vice Chairperson of Yaşar Holding in June 2009.
Mr. Gökoğlu, to whom audit and risk management coordinator reports, also serves as General Secretary of the boards of directors
at the Yaşar Group. Yılmaz Gökoğlu has been holding seats on the board of directors of Yaşar Group companies for the last ten
years.
Mehmet Kahya
Independent Director
Mehmet Kahya double majored in chemical engineering and economics at Yale University (1973), and received his master’s
degree with majors in finance, marketing and operations research from the Kellogg Graduate School of Management in 1975.
Having served in senior management positions including board member, managing director, vice chairperson, CEO and executive
committee member in various private sector firms and holding companies in Turkey, Mr. Kahya has been a member of the Board of
Directors of Yaşar Holding since April 2009.
Mehmet Öğütçü
Independent Director
Mehmet Öğütçü received his bachelor’s degree from Ankara University, Faculty of Political Sciences in 1983, his master’s degree
from the London School of Economics in 1985 and his doctorate degree from College d’Europe, Bruges in 1992. He served as an
advisor for foreign media relations for Turgut Özal, then Prime Minister. He worked in the Turkish Foreign Affairs Ministry’s missions
in Ankara, Beijing, Brussels and OECD from 1986 to 1994. He was the principal administrator for the Asia-Pacific program at the
International Energy Agency in Paris from 1994 to 2000, and the head of OECD’s Global Forum from 2000 until 2005. He functioned
as the External Relations and Governmental Relations Director of BG (British Gas) Group from 2005 to 2011. Currently, Mr. Öğütçü
is the chairman of Global Resources Corporation (London), a regional energy investment and consultancy company; an independent
director on the board of Genel Energy Plc; chairman of Invensys Plc Advisory Board; International Advisory Board member at APCO
Worldwide (Washington); Advisory Board member at KCS, Windsor Energy Group and NUMIS Securities, and special envoy at
Energy Charter (Brussels). He occasionally lectures on development economy, competitive edge and energy geopolitics at LSE and
Harvard University. He has published numerous books and articles on energy, foreign investments, China, Middle East, Central Asia
and EU in Turkey and in the international arena.
Dr. Mehmet Aktaş
Director
Mehmet Aktaş received a bachelor’s degree in economics from Ankara University, Faculty of Political Sciences in 1983, a master’s
degree in economics from Vanderbilt University in 1992 and a doctorate degree in finance from 9 Eylül University in 2003. After
working in the public sector from 1984 to 1995, he joined the Yaşar Group in 1995, where he held various positions mainly in
strategy, budget, and corporate finance. Mr. Aktaş was appointed as Chief Executive Officer of Yaşar Holding in July 2007 and has
been serving as a member of the Yaşar Holding Board of Directors and as Chief Executive Officer since April 2009. He has been
holding seats on the boards of directors of Yaşar Group companies for the last ten years.

Hakkı Hikmet Altan
Director
Hakkı Hikmet Altan got his bachelor’s degree in business administration from the Middle East Technical University in 1985. After
working at the Yaşar Group from 1985 until 1988, he became Assistant General Manager at Yaşar Uluslararası Ticaret and Yaşar
Dış Ticaret from 1993. He functioned as Yaşar Group Finance Coordinator from 2001 to 2003, when he was appointed as the
Vice President of Finance for Yaşar Group. Mr. Altan became Vice President of Foreign Trade of the Group in 2007. Serving as the
Chief Financial Officer of Yaşar Holding since 2009, Mr. Altan has been holding seats on the boards of directors of Yaşar Group
companies for the last ten years.
Ahmet Fahri Yiğitbaşı
Director
Ahmet Fahri Yiğitbaşı received his bachelor’s degree in mechanical engineering from Aachen Technical University in Germany in
1987 and his master’s degree in fuel engineering from the same university. He began his career at Union Kraftstoff (UK) in Bonn,
Germany in 1987 and joined Yaşar Coatings and Chemicals Division in 1989. He worked for Desa Makina ve Kazan in 1989 and
1990. He held the positions of Assistant General Manager for Sales and Marketing (1990-1992) and General Manager (19921996) at Botaş Ambalaj, of Vice President of different business units including packaging, automotive paints, industrial coatings,
construction coatings and printing inks (1996-2001), and President of Yaşar Holding Coatings and Chemicals Division (2001-2006),
President of Yaşar Holding International Investments and New Projects (2006-2009), Chairman of the Board of BOSAD (Association
of Paint Industry) (2006-2009), and Member and Vice President of Yaşar University Board of Trustees (2003-2010). He has been
serving as the President of Yaşar Holding Coatings Division and Vice Chairman of the Board of BOSAD since 2009, and President
of Yaşar University Board of Trustees since 2010. Mr. Yiğitbaşı has been holding seats on the boards of directors of Yaşar Group
companies for the last ten years.
Members of the Board of Directors of our company, which is affiliated to the Yaşar Group, may hold seats on the boards of
directors of other Group companies, and there may be various transactions by and between these companies that may be
considered under the scope of Article 395/1 of the Turkish Commercial Code. However, the parties to such transactions are
Group companies only, and necessary permissions are obtained at the general assembly meeting of each relevant company.
SENIOR MANAGEMENT
Serdar Oran
General Manager
Serdar Oran got his bachelor’s degree in chemical engineering from Ankara University in 1983 and his master’s degree in the
same subject from California State University in 1987. Having joined the Yaşar Group as an industrial coatings research engineer
at DYOSAD in 1988, he then worked, in chronological order, as Industrial Coatings Research Specialist (1992-1994), Industrial
Coatings Plant Manager (1994-1997), Assistant General Manager for Technical Affairs (1997-1999), and Metal Coatings Business
Unit Marketing Director (1999-2000). He has been appointed as the General Manager of DYOSAD in 2000. After leaving the Group
in 2001, Mr. Oran set up his own business. Appointed as the General Manager of Dyo Boya in 2009, he has been named the Vice
President responsible for Dyo Boya Fabrikaları and Coatings Division overseas companies, concurrently with his position as the
General Manager of Dyo Boya Fabrikaları.
Hasan Garipler
Plants Director
Hasan Garipler received his bachelor’s degree in chemical engineering from Hacettepe University in 1978. He joined the Yaşar Group
in 1979 as an industrial coatings research engineer at DYOSAD, and then held, in chronological order, the positions of Production
Engineer (1980-1992), Industrial Coatings Production Manager (1992-1997), Production Planning Manager (1997-2000), Operations
Manager (2000-2002), Assistant General Manager for Technical Affairs (2002-2003), General Manager of Dyo Sentetik A.Ş. (20032007), International Operations Director (2007-2008), and Kemipeks Turkey General Manager (2008-2009). Mr. Garipler has been
appointed as Director of Dyo Boya Fabrikaları in 2009, a position he currently holds.

Burhan Kuran got his bachelor’s degree in public administration from Ankara University, Faculty of Political Sciences in 1981. He
began his career as a sales representative at Dewilux’s Samsun Liaison Office in 1983, and later functioned as a sales representative
at Yasaş Trabzon Liaison Office (1985-1988), sales supervisor at Samsun Liaison Office (1988-1989), sales supervisor at Ankara
Central (1990-1991), Southeast Anatolia Regional Manager (1992-1995), and Central Anatolia and Black Sea Regional Manager
(1995-2003). After leaving the Yaşar Group, he worked as Onay Boya General Manager (2004-2005), Kardelen Boya Assistant
General Manager (2006-2007), and İba-Valresa Sales and Marketing Manager (2007-2009). Mr. Kuran has been serving as
Dyo Boya Construction Coatings Sales Director since 2009.
Mehmet Mutlu Uysal
Industrial Coatings and Automotive Repair Coatings Sales Director
Mehmet Mutlu Uysal got his bachelor’s degree in business administration from Dokuz Eylül University in 1991, and his master’s
degree in marketing from the same university in 2010. He joined the Yaşar Group in 1993 as a sales representative at DYOSAD. He
subsequently worked as Business Development Manager (1999-2000) and Yaşar BASF Aegean Regional Manager (2000-2001).
Having left the Group in 2001, Mr. Uysal carried on with his career with his own business. Appointed as the head of Dyo Boya
Industrial Coatings Marketing and Business Development Department in 2002, he became the Assistant General Manager for
Industrial Coatings Sales in 2004. Mr. Uysal has been appointed as Dyo Boya Industrial and Automotive Repair Coatings Sales
Director in 2007, a position he still holds.
Ercümend Emir Atakay
Furniture Coatings Sales Director
Ercümend Emir Atakay received his bachelor’s degree in chemical engineering from Ege University in 1993. He started his career
as Furniture Coatings R&D Engineer at Dyo Sentetik Selülozik Boya ve Vernik Fabrikaları in 1995, and worked as Furniture
Coatings R&D Specialist (2000-2002). Having left the Group in 2002, Mr. Atakay functioned as Furniture and Industrial Coatings
R&D Specialist and Technical Sales Manager at Betek Boya from 2002 until 2010. He has been appointed as Dyo Boya Furniture
Coatings Sales Director in 2010, in which position he currently serves.
Fahri Özgür Arıs
Finance and Financial Affairs Director
Fahri Özgür Arıs got his bachelor’s degree in business administration from the Middle East Technical University, Faculty of
Economics and Administrative Sciences in 1998. He worked, in chronological order, as audit assistant, audit team leader and audit
assistant manager at Ankara and İzmir offices of PricewaterhouseCoopers from 1998 until 2003. He joined the Yaşar Group in 2003
as the head of Financial Control Department and then appointed as Food Division Financial Affairs Director in 2005 and as Budget
Planning Manager in 2006. Having left the Yaşar Group in 2006, Mr. Arıs functioned as Financial and Administrative Affairs Manager
at Alltech Bioteknoloji Turkey. He has been appointed as Dyo Boya Financial Affairs Director in 2007 and presently serves as Finance
and Financial Affairs Director.
Özlem Düzyatan
Purchasing Director
Özlem Düzyatan received her bachelor’s degree in business administration from the Middle East Technical University in 1995.
She worked as Assistant Purchasing Manager at Akzo Nobel Kemipol from 1998 until 2003. She joined the Yaşar Group in 2006
as Purchasing Manager at Dyo Boya. Ms. Düzyatan has been appointed as Purchasing Director in 2008, in which position she still
serves.

Özlem Yaylalı
Human Resources Director
Özlem Yaylalı got her bachelor’s degree in industrial engineering from Dokuz Eylül University in 1995. The same year, she joined
the Yaşar Group at Akril Kimya as Technical Services and Quality Assurance Engineer. She then held the positions of Production
Planning Engineer (1997-1998), System Organization Engineer at Ortadoğu KVK (1998-2000), Assistant Project Leader for
Mckinsey&Company-Organizational Efficiency and Productivity Project at Dyo Sentetik Selülozik Boya ve Vernik Fabrikaları (20002001), and HR Manager for Coatings and Chemicals Division (2001-2003). Ms. Yaylalı left the Group in 2003 and took a break from
active working life, during which time she worked as a visiting lecturer at İzmir Ekonomi University. Appointed as Human Resources
Manager at Dyo Matbaa Mürekkepleri in 2007, she has additionally been assigned as the Coatings Division HR Manager in 2009.
Ms. Yaylalı still serves as the Coatings Division Human Resources Director, to which post she was appointed in 2009.
Cem Gürkan
Export and Business Development Director
Cem Gürkan received his bachelor’s degree in chemical engineering from Ege University in 1992 and his international MBA degree
from İstanbul University in 1993. He began his career in Synthetic Resin-Polyester R&D Department at Bayraklı Boya in 1995, where
he functioned as Synthetic Resin-Polyester Specialist, Polyester Product Manager, and Dyo Coatings and Chemicals Business
Unit Market Development Product Manager. Mr. Gürkan held the positions of Technology and Business Development Coordinator
at Polya Polyester (2003-2009) and General Manager of Ennis Boya (2010-2012). He still serves as Construction Coatings Export
Director, a position he was appointed to in March 2012. He also assumes responsibility for Dyo Balkan SRL (Romania) and Kemipex
Joint (Russia) companies.
Bülent Tomaç
Construction Coatings Marketing Director
Bülent Tomaç received his bachelor’s degree from İstanbul Technical University, Chemical and Metallurgical Engineering in 1986
and his master’s degree from İstanbul University, Marketing Department in 1988. He started his career at ÇBS Paint Marketing
Department in 1988, where he later functioned as Product Manager (1992-1996), Marketing Manager (1996-1999), and Sales
Marketing Director (1999-2002). He was the Assistant General Manager of HOB Boya (2002-2003), General Manager of ÇBS Boya
(2003-2007), Sales Director of Casati Boya (2007-2009), and General Manager of ÇBS Boya (2009-2012). Having joined the Yaşar
Group in March 2012 as Construction Coatings Marketing Director at Dyo Boya, Mr. Tomaç still serves in this position.
